The terms under which the Finly Finance & Accounting extensions for Microsoft Dynamics 365 Business Central are licensed by Infivex Global PTE Ltd.

This End User License Agreement is a contract between you (the "Customer") and Infivex Global PTE Ltd ("Infivex", "we"). It governs your use of the Finly Finance & Accounting extensions for Microsoft Dynamics 365 Business Central (the "Software"). By installing or using the Software you accept these terms. If you do not accept them, do not install the Software.
Subject to payment of the applicable fees and to these terms, Infivex grants you a non-exclusive, non-transferable, revocable licence to install and use the Software in the Business Central environments and for the companies covered by your subscription, for your own internal business purposes and those of the clients whose books you keep.
The licence is granted for the term of your subscription. It does not transfer ownership of anything.
You may not sublicense, rent, resell or otherwise make the Software available to a third party outside the scope of your subscription; reverse engineer, decompile or disassemble it except where that right cannot be excluded by law; remove or obscure any notice of ownership; or use it to build a competing product.
You own your data. The Software stores its data inside your own Business Central environment, under your control and subject to your agreement with Microsoft. Infivex does not receive a copy of it.
Two features reach outward, and only on your instruction: VIES validation submits a VAT number to the European Commission's public verification service, and KYC document storage writes to the SharePoint site you configure. Both are optional and off until you enable them.
The Software emits anonymised operational telemetry to Infivex through Azure Application Insights (West Europe): event names, error codes, timings and the extension version. It contains no document content and no personal data. We use it to diagnose failures and to decide what to fix. See the privacy policy for the full description.
Support is provided by e-mail at support@infivex.com during Belgian business hours, in English, French and Dutch. Updates and new versions are published through Microsoft AppSource and are included in an active subscription. Infivex does not guarantee that a given feature will be retained indefinitely, but will not remove one without notice in the release notes.
Fees, billing period and scope are set out in your subscription agreement with Infivex. Non-payment may lead to suspension of support and, after notice, to termination of the licence.
The Software, its source code, object identifiers and documentation remain the property of Infivex Global PTE Ltd. Nothing here transfers any intellectual property right to you.
The Software is provided "as is". To the maximum extent permitted by law, Infivex disclaims all implied warranties, including merchantability and fitness for a particular purpose. The Software is an accounting aid, not accounting advice. You remain responsible for the correctness of your books, your VAT returns and your statutory filings, and for having them reviewed by a qualified professional.
To the maximum extent permitted by law, Infivex's total liability arising out of or relating to the Software is limited to the fees you paid for it in the twelve months preceding the event giving rise to the claim. Infivex is not liable for indirect or consequential loss, loss of profit, or loss of data. Nothing here excludes liability that cannot be excluded by law, including for fraud or for death or personal injury caused by negligence.
Either party may terminate in accordance with the subscription agreement. On termination the licence ends and you must uninstall the Software. Your data stays in your Business Central environment; uninstalling an extension removes the fields it added, so export anything you need first.
Infivex may update these terms. Material changes are announced with the release they apply to. Continued use after a change takes effect constitutes acceptance.
This agreement is governed by Belgian law. The courts of Belgium have exclusive jurisdiction, without prejudice to any mandatory consumer protection in your country of residence.
